1. Agreement to Terms

These Terms and Conditions (“Agreement”) constitute a legally binding contract between Case Closed Pro LLC (“Company,” “we,” “us,” or “our”) and the individual or entity
accessing or using the Case Closed Pro platform (“Subscriber,” “you,” or “your”).

By creating an account, starting a free trial, or paying for a subscription, you acknowledge that you have read, understood, and agree to be bound by this Agreement in full.

If you do not agree to these terms, you may not access or use Case Closed Pro.

2. Description of Services

Case Closed Pro is a web-based software platform designed to help dental treatment coordinators present and close high-dollar, comprehensive dental treatment plans.

Services may include:

• Interactive treatment financing calculator
• Patient-facing payment plan PDF generation
• Before/after image catalog
• Lead capture functionality
• Automated email nurturing sequences
• Dashboard analytics and engagement tracking
• AI-generated smile image tools
• White-label branding and customization
• Onboarding and training videos
• Patient education content

3. Account Registration and Eligibility

To use Case Closed Pro, you must create an account and provide accurate and current information.

By registering, you represent and warrant that:

• You are at least 18 years of age
• You are authorized to use the platform on behalf of your organization
• The information provided is accurate and current
• Your use complies with applicable laws and regulations

4. Subscription Plans and Pricing

Tier 1 — The Closing Tool

• Monthly: $97.00/month
• Annual: $1,067.00/year
• Includes 2 admin user seats
• Includes all standard platform tools and features

Tier 2 — The Closing System

• Monthly: $197.00/month
• Annual: $2,167.00/year
• Includes 5 admin user seats
• Advanced analytics and white-label customization

Tier 3 — Enterprise

• Custom pricing
• Unlimited locations and users
• Enterprise analytics and integrations
• Priority onboarding and support

5. Free Trial

New Subscribers are eligible for a fourteen (14) day free trial upon account creation.

• No payment required to start
• Cancel anytime during the trial
• Automatically converts to paid subscription unless canceled
• Available to new Subscribers only

6. Billing and Payment

• Subscriptions are billed in advance
• Annual subscriptions are charged in full
• Fees are generally non-refundable
• Third-party processors handle billing
• Failed payments may result in suspension
• Applicable taxes may apply

7. Cancellation and Termination

Cancellation by Subscriber

You may cancel your subscription at any time through account settings or by contacting support.

Termination by Case Closed Pro LLC

We may suspend or terminate access for violations, fraud, illegal use, or non-payment.

Effect of Termination

Upon termination, platform access will cease and data retention is not guaranteed.

8. Acceptable Use

You agree NOT to:

• Violate any applicable laws
• Share login credentials improperly
• Reverse engineer the platform
• Use bots or scrapers
• Introduce malware or harmful code
• Misrepresent identity or credentials

9. Patient Data, Privacy, and HIPAA

Subscribers are responsible for ensuring HIPAA compliance and obtaining necessary patient consents.

Subscribers requiring a Business Associate Agreement (BAA) should contact Case Closed Pro LLC directly.

10. Intellectual Property

All platform content, branding, code, and materials are the intellectual property of Case Closed Pro LLC and protected under applicable laws.

11. Third-Party Services and Integrations

The platform may integrate with third-party services including payment processors, email systems, and financing providers.

Case Closed Pro LLC does not guarantee or endorse third-party services.

12. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee uninterrupted service or specific business outcomes.

13. Limitation of Liability

Case Closed Pro LLC shall not be liable for indirect, incidental, or consequential damages, including lost revenue or data.

Total liability shall not exceed subscription fees paid during the previous twelve (12) months.

14. Indemnification

You agree to indemnify and hold harmless Case Closed Pro LLC from claims or liabilities arising from your use of the platform or violation of this Agreement.

15. Modifications to This Agreement

Case Closed Pro LLC may update these Terms and Conditions at any time with notice.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of [STATE].

Disputes shall first be submitted to good-faith negotiation and, if unresolved, to binding arbitration.

17. General Provisions

• Entire Agreement: Includes these Terms, Privacy Policy, and Refund Policy
• Severability: Invalid provisions do not affect remaining provisions

• Assignment: Rights may not be transferred without consent
• Force Majeure: No liability for events beyond reasonable control
